By accessing or using ControlTheRoom.ai® ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. Your continued use of the Service constitutes acceptance of any modifications to these Terms.

ControlTheRoom.ai® is an AI-powered sales meeting intelligence platform that helps sales professionals prepare for meetings by generating insights about companies, attendees, and strategic talking points. The Service uses artificial intelligence to analyze publicly available information and generate meeting briefs.

AI Limitations: The Service relies on AI models that may produce inaccurate, incomplete, biased, or outdated information. AI-generated content should be treated as preliminary research only, not as verified facts or professional advice.

4. User Accounts

4.1 Account Creation

You must create an account to use the Service. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account.

4.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion. You may delete your account at any time through your account settings.

5. Acceptable Use

• Rely solely on AI-generated content for critical business decisions without independent verification

6. User-Generated Content and Confidentiality

6.1 Your Responsibility

You are solely responsible for ensuring you have the legal right to share any content you upload to our Service. You represent and warrant that all uploaded content:

• Does not violate any confidentiality obligations
• Does not infringe on any third-party rights
• Complies with all applicable laws and regulations
• Is accurate and not misleading

6.2 Indemnification for User Content

You agree to indemnify and hold harmless ControlTheRoom.ai from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from your upload of confidential, NDA-protected, or otherwise restricted content. This includes but is not limited to:

• Claims by third parties whose confidential information you uploaded
• Regulatory penalties for disclosure of MNPI or insider information
• Breach of contract claims arising from NDA violations
• Trade secret misappropriation claims

6.3 Our Rights

We reserve the right to remove any content we believe may violate confidentiality obligations, though we have no obligation to monitor or verify the confidentiality status of user-uploaded content. You acknowledge that we cannot and do not review all user content before it is uploaded.

7. Intellectual Property

7.1 Our Content

The Service, including all content, features, functionality, software, and design, is owned by ControlTheRoom.ai® and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our express written permission.

7.2 Your Content

You retain ownership of any content you submit to the Service (meeting briefs, company information, etc.). By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process your content solely to provide and improve the Service.

7.3 AI-Generated Content

Meeting briefs and insights generated by our AI are provided to you for your use. You are solely responsible for reviewing, verifying, and validating the accuracy of AI-generated content before using it in any business context. We make no representations or warranties regarding the accuracy, completeness, or reliability of AI-generated content.

8. Disclaimer of Warranties

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• AI-generated insights will be accurate, complete, reliable, current, or suitable for your purposes
• AI-generated content will be free from errors, omissions, biases, or hallucinations
• Any defects will be corrected
• The Service will meet your specific requirements or business needs
• Third-party data sources used by our AI are accurate or up-to-date

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONTROLTHEROOM.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, or similar that may be transmitted through the Service
• Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Service
• Reliance on AI-generated insights, recommendations, or information for business decisions
• Inaccurate, incomplete, outdated, or misleading AI-generated content
• Lost business opportunities, failed deals, or business losses allegedly caused by using our Service
• Decisions made based on AI-generated meeting briefs or intelligence
• Any claim that AI-generated content caused you financial harm or reputational damage

YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. You are solely responsible for:

• Verifying the accuracy of all AI-generated content before use
• Conducting your own independent research and due diligence
• Making your own business judgments and decisions
• Consulting with qualified professionals (lawyers, accountants, consultants) before making important decisions
• Any consequences resulting from your use of the Service or reliance on AI-generated content

Your use of the Service is also governed by our Privacy Policy. Please review our Privacy Policy to understand our data practices, including how we collect, use, and protect your personal information.

13. Payment and Subscriptions

If you purchase a paid subscription, you agree to pay all fees associated with your subscription. Fees are non-refundable except as required by law. We reserve the right to change our pricing at any time with reasonable notice (at least 30 days for existing subscribers).

If you dispute a charge, you must notify us within 30 days of the charge. Failure to do so waives your right to dispute the charge.

14. Modifications to Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes via email or platform notification at least 14 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the Service and may delete your account.

16. Dispute Resolution and Arbitration

16.1 Informal Resolution

Before filing a claim, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.

16.2 Binding Arbitration

If informal resolution fails, you agree that any dispute arising from these Terms or the Service will be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be conducted in English in the United States.

YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTIONS. Each party will bear its own costs and attorneys' fees, unless the arbitrator awards fees to the prevailing party.

15.3 Exceptions

Either party may seek injunctive relief in court to protect intellectual property rights or confidential information.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes not subject to arbitration shall be resolved in the state or federal courts located in Delaware.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ControlTheRoom.ai regarding the Service and supersede all prior agreements and understandings, whether written or oral.
